Terms & Conditions

Version of October 2025, governed by the laws of the Netherlands.

1. Definitions

In these Terms & Conditions:

  • “Clausely” refers to the company operating under the domain useclausely.com, registered in the Netherlands.

  • “Client” means any natural or legal person using or purchasing the Service.

  • “Service” means the generation, review, and delivery of legal contracts and documents (AI-generated contracts with human legal review) provided by Clausely.

  • “Agreement” means the contract between Clausely and the Client for the provision of the Service.

  • “Product” means the final document, contract, or report delivered to the Client.

  • “AI Contract Generation” means the use of artificial intelligence to draft a document based on the Client’s input.

  • “Legal Review” means the human legal evaluation and adjustments performed by a qualified legal professional.

2. Applicability

2.1 These Terms & Conditions apply to all offers, Agreements, and deliveries made by Clausely.
2.2 By placing an order or using the Service, the Client agrees to these Terms & Conditions.
2.3 Deviations from these Terms are only valid if confirmed in writing by Clausely.
2.4 Clausely expressly rejects the applicability of any terms used by the Client.

3. Formation of the Agreement

3.1 The Agreement is concluded when the Client accepts an offer or completes an order via the website or written confirmation.
3.2 Clausely reserves the right to refuse any order at its discretion, particularly if the Client provides incomplete or misleading information.
3.3 All offers and prices on the website are non-binding and subject to change.

4. The Service

4.1 Clausely provides AI-assisted contract generation combined with human legal review, as described on the website.
4.2 The Service aims to provide legally sound and practical results but does not constitute personalised legal adviceunless explicitly stated.
4.3 The Client is responsible for supplying accurate, complete, and lawful information. Clausely is not liable for consequences resulting from incorrect or incomplete data.
4.4 Delivery timelines (such as “within 48 hours”) are indicative and not strict deadlines.
4.5 Unless agreed otherwise, Clausely provides the Service on a one-time basis and is not obliged to offer ongoing support or updates.

5. Fees and Payment

5.1 Prices are listed in euros (€) and include VAT unless otherwise stated.
5.2 Payment is due in advance via the payment methods offered on the website.
5.3 If payment fails or is reversed, Clausely may suspend or terminate the Service.
5.4 No refunds are issued once the AI generation or legal review has commenced, except as required by consumer protection laws.
5.5 Consumers (non-business Clients) retain the right of withdrawal under Article 6:230o of the Dutch Civil Code, unless digital delivery has already begun with their explicit consent.

6. Liability and Disclaimer

6.1 Clausely performs its Service with care and professionalism, but the Client acknowledges that:

  • AI-generated output may contain errors or omissions;

  • the Product may not fully replace tailored legal advice; and

  • the Client remains responsible for the final use of the document.
    6.2 Clausely’s total liability is limited to the amount paid by the Client for the relevant Service.
    6.3 Clausely is not liable for indirect damages, consequential loss, or loss of profit.
    6.4 Nothing in these Terms excludes liability for intent, gross negligence, or mandatory legal obligations under Dutch or EU law.

7. Intellectual Property

7.1 All intellectual property rights related to Clausely’s technology, templates, AI-systems, and methodologies remain the sole property of Clausely.
7.2 The Client receives a non-exclusive, non-transferable, and limited license to use the delivered Product for internal business or personal purposes.
7.3 The Client may not resell, reproduce, or publish the Product without Clausely’s prior written consent.

8. Data Protection and Confidentiality

8.1 Clausely processes personal data in compliance with the EU General Data Protection Regulation (GDPR) and the Dutch GDPR Implementation Act (UAVG).
8.2 All Client data is handled confidentially and used only for the purpose of delivering the Service.
8.3 Both parties shall maintain confidentiality regarding any non-public information obtained through the Agreement.
8.4 Clausely uses secure systems and encryption to protect Client data.

9. Term and Termination

9.1 The Agreement takes effect upon confirmation of the order and ends upon full delivery of the Product.
9.2 Clausely may terminate the Agreement immediately if the Client:

  • fails to fulfil payment or cooperation obligations;

  • provides false or unlawful information; or

  • acts in a manner that may harm Clausely’s reputation or systems.
    9.3 Termination does not affect accrued rights or obligations prior to termination.

10. Amendments to Terms

10.1 Clausely may modify these Terms & Conditions at any time.
10.2 Updates will be published on the website with a revised “last updated” date.
10.3 Continued use of the Service after publication constitutes acceptance of the new Terms.

11. Governing Law and Jurisdiction

11.1 These Terms & Conditions and all Agreements are governed exclusively by Dutch law, with due regard to applicable EU consumer protection legislation.
11.2 Any dispute shall be submitted to the competent court in Utrecht, the Netherlands, unless mandatory law requires otherwise (for example, for consumers).
11.3 The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

12. Miscellaneous

12.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect. The invalid provision will be replaced by one that most closely matches the original intent.
12.2 The failure of Clausely to enforce any right under these Terms shall not constitute a waiver of such right.
12.3 These Terms constitute the entire agreement between Clausely and the Client and supersede all prior communications or understandings.
